Board of Directors
Anthony Traub – Chairman
Mr. Traub has been Secretary and a director of the Company
since July 14, 2005. He is the founder, Chairman and Chief Executive Officer of I.C.T.C. Holdings Corporation.
Prior thereto, he was a Director and the Founding Partner of a fund manager with $3.5 billion under management,
primarily in the income trust sector trading on the TSX. Mr. Traub is a Chartered Accountant and prior to 1979 was
involved in public practice.
Steve Balmer – Director
Mr. Balmer has been President and a director of the Company
since July 14, 2005. Mr. Balmer is also President and Chief Operating Officer of I.C.T.C. Holdings Corporation,
which operates its business under the banner name of the HERO Products Group, a 36-year old Vancouver-based
producer and distributor of equipment for the paint and retail markets of the coatings industry. Mr. Balmer formerly
held the position of President and Director of an international company selling equipment and chemicals to the
global coatings industry. Prior thereto, Mr. Balmer held the position of Executive Vice President of the HERO
Industries ("HERO Industries") division of Middlefield Bancorp Limited, a Toronto-based merchant bank trading
on the TSX, for 12 years.
Rick Duha – Director
Mr. Duha was appointed as a director of the Company on August 18, 2005. Mr.
Duha is the Managing Director and Principal of The Duha Group headquartered in Winnipeg, Manitoba. The Duha
Group is a 60-year old privately-held company and is a world leader in the supply of colour charts for the paint
industry with factories operating in Canada, the United States, Mexico and Australia, and joint ventures in
Singapore, China and France. Mr. Duha is presently on the board of the Canadian Paint and Coatings Association,
and sits on the board of advisors for a major private printing company in Manitoba. He graduated with a Bachelor
of Commerce in 1982 from the University of Manitoba.
David Lancaster – Director
Mr. Lancaster was appointed as a director of the Company on July 28, 2005.
He is a partner of the accounting firm Lancaster & David, Chartered Accountants which has offices in Vancouver
and New Westminster, British Columbia. Lancaster & David has a wide range of clients both private and public and
is a participating firm in the Canadian Public Accountability Board (CPAB) with 14 reporting issuer audit clients
presently. Prior to the formation of Lancaster & David in 1998, he was a partner in the accounting firm Powell
Street Lancaster, Chartered Accountants. Mr. Lancaster is a Chartered Accountant.
Marc Mercier – Director
Mr. Mercier was appointed as a director of the Company on July 14, 2005. He
is a Partner in the Financial Services Group at the law firm of Cassels Brock & Blackwell LLP in Toronto, Ontario
and has practiced law with Cassels Brock since June 2003. Prior to joining Cassels Brock in 2003, Mr. Mercier was
a Partner with the law firm of Fraser Milner Casgrain LLP, where he had been since May 1991. Mr. Mercier’s
practice has a particular emphasis on treasury management and financial derivatives-related matters, secured,
unsecured and merger and acquisition financing, including infrastructure, public sector and healthcare financing, and
reorganizational workouts and restructurings. He also handles extensive financing work in the
subordinated/convertible debt, venture capital and private equity areas. Mr. Mercier acts as lead counsel for a
number of U.S., European and Canadian-based public clients that have been involved in mergers, corporate
reorganizations, cross-border financings and corporate governance matters.
Dr. Doug Thiemann - Director
Dr. Thiemann has worked with four major Canadian coatings companies in
senior positions ranging from Research Scientist to President and General
Manager. Since 1996, Dr. Thiemann has been the General Manager of a
national hardware store's Paint and Home Products Division. He brings a total of
35 years of experience in the Paint and Coatings industries to Napier and
holds a Bachelor of Science Degree in Chemistry from the University of Toronto
and a Ph.D. in Organic Chemistry from Vanderbilt University.
